"SEO AND CHILL" means the software product, plugin, website, services, documentation, updates, support services, and related infrastructure operated by NGC 4144 B.V.
SEO AND CHILL is a trade name of NGC 4144 B.V. The product governed by these Terms was formerly marketed and sold under the name "WP AI SEO"; SEO AND CHILL designates the same product, and licenses validly issued under the former name remain valid under these Terms as licenses to SEO AND CHILL.
"User" means any individual, business, organization, agency, or other entity using SEO AND CHILL.
"License" means the right granted to use SEO AND CHILL under these Terms.
"Subscription" means any recurring or non recurring paid access plan.
"AI Provider" means any third party artificial intelligence service connected to SEO AND CHILL, including but not limited to OpenAI, Anthropic, Google Gemini, Groq, DeepSeek, Mistral, OpenRouter, Moonshot, xAI, or other compatible providers.
"Content" means any text, images, prompts, metadata, SEO data, keywords, articles, descriptions, titles, or other material processed through SEO AND CHILL.
You represent and warrant that:
Subject to these Terms and payment of all applicable fees, SEO AND CHILL grants you a limited, non exclusive, non transferable, revocable license to use the software in accordance with your purchased plan.
The license grants usage rights only and does not transfer ownership of any intellectual property rights.
Your license remains valid only while your subscription remains active and in good standing.
SEO AND CHILL may offer multiple license tiers, including but not limited to:
Features available under each plan are determined by the plan purchased and may change over time.
Certain features may only be available to specific license tiers.
Agency features such as White Label functionality, Multisite support, Audit Export functionality, and other advanced capabilities are restricted to Agency licenses where applicable.
SEO AND CHILL uses a domain based licensing and activation system.
Licenses may only be activated on the number of websites permitted under the purchased subscription.
Licenses may not be shared, distributed, sublicensed, resold, or used beyond the authorized limits of the purchased plan.
We reserve the right to suspend or revoke licenses that exceed permitted usage limits.
You may not:
Any violation may result in immediate suspension or termination.
SEO AND CHILL integrates with third party AI providers.
Users may connect their own API keys, accounts, credentials, and AI services.
SEO AND CHILL does not own, operate, control, or manage third party AI providers.
Availability, pricing, functionality, output quality, uptime, and performance of third party AI providers may change at any time without notice.
Your use of third party AI providers is governed by the terms and policies of those providers.
SEO AND CHILL does not act as the controller of content submitted to third party AI providers.
Users are solely responsible for their use of connected AI services and should independently review the privacy policies, data processing terms, security practices, and legal terms of any AI provider they choose to connect.
SEO AND CHILL is not responsible for how third party AI providers process, store, transfer, analyze, train on, retain, disclose, or otherwise use information submitted to them.
Any content transmitted to third party AI providers is transmitted at the user's direction and responsibility.
SEO AND CHILL does not charge or collect fees imposed by third party AI providers.
Users are solely responsible for all charges incurred through third party AI services connected to the software.
Users acknowledge that AI providers may charge fees based on:

AI generated content may contain inaccuracies, omissions, errors, outdated information, biased information, or inappropriate content.
Users are solely responsible for reviewing, editing, verifying, approving, and publishing any content generated through SEO AND CHILL.
